Terms of Service

These terms constitute a legally binding agreement. Please read them carefully before engaging our services.
These Terms of Service (“Terms”) govern your use of the products, development services, and Managed Services offered by NavTech, LLC (“NavTech,” “we,” “our,” or “us”). By accessing our website, requesting project work, or subscribing to Managed Services, you (“Client,” “you,” or “your”) agree to these Terms.
1. Scope of Services
1.1 One-Time Project Services (“Build Services”)
Build Services include software consulting, website and application development, technical assessments, and system architecture. Deliverables will be defined in a project proposal or Statement of Work (“SOW”).
1.2 Managed Services
Managed Services may include hosting, monitoring, patching, security updates, system maintenance, optimization, and technical support. The services provided depend on the selected Managed Services plan.
Unless explicitly stated in your Managed Services agreement, Managed Services do NOT include:
- Emergency after-hours engineering (without Scale Plan)
- New feature coding or major development sprints
- 24/7 incident response (unless specified in SLA)
2. Payment, Billing, and Subscriptions
2.1 Build Services
One-time project fees are billed as outlined in the SOW. A deposit is typically required before work begins to secure engineering resources.
2.2 Managed Services
Managed Services are billed monthly, in advance. You authorize NavTech to invoice or charge your stored payment method for recurring fees on the 1st of each service month.
2.3 Late Payment & Suspension
Payments not received within 7 days of the due date may result in service suspension. We prefer not to do this, but consistent non-payment halts our ability to pay our engineers.
3. Intellectual Property
3.1 Client Ownership
Upon full payment, the Client owns the custom code, design, deliverables, and assets created specifically for the project. You own what you pay for.
3.2 NavTech Proprietary Materials
NavTech retains ownership of all internal tools, reusable components, frameworks, libraries, methodologies, and patterns (“NavTech IP”). You receive a perpetual, non-exclusive license to use NavTech IP only as incorporated into your deliverable.
4. Confidentiality
Both parties agree to maintain strict confidentiality of all non-public information, including trade secrets, customer lists, and security configurations, except where disclosure is required by law.
5. Limitation of Liability
NavTech provides all services “AS IS” and “AS AVAILABLE.” We are not liable for indirect, incidental, consequential, punitive, or exemplary damages.
Maximum liability is limited to the fees paid to NavTech in the 30 days preceding the event.
6. Termination
Clients may cancel Managed Services with 30 days’ written notice. We may terminate services for non-payment, abuse, security threats, or violation of these Terms.
7. Governing Law
These Terms are governed by the laws of the State of Texas without regard to conflict-of-law principles.
